CHICAGO, Oct. 6, 2025 – Aon plc (NYSE: AON), a leading global professional services firm, today announced the launch of a first-of-its-kind suite of insurance-backed liquidity solutions from its M&A and Transaction Solutions business, which helps clients protect and enhance deal value across the investment lifecycle. Designed to address the growing need for capital efficiency in private markets, the new offering enables sponsors and investors to unlock liquidity amid tightening financing conditions, extended exit timelines and mounting fundraising pressures.
“This is a first for both Aon and the insurance industry,” said Jerald Khoo, managing director and head of private markets liquidity solutions. “While the focus on private equity is growing across M&A insurance brokers, we are proud to be first-to-market in formalizing a suite of highly specialized PE-specific solutions with a deeply experienced team. We have custom-built this offering to help clients navigate today’s turbulence with greater speed, certainty and flexibility.”
Private equity’s dry powder remains at record levels, but exits have not met investor expectations due to a number of factors including geopolitical uncertainty and a disconnect on valuations. As a result, market participants are increasingly turning to alternative strategies to manage their portfolios, including via continuation fund secondary transactions and direct LP sales which have reached record volumes, underscoring the urgent demand for more creative liquidity solutions.
Aon’s suite of insurance-backed liquidity solutions addresses multiple pain points across the private markets lifecycle by enabling cleaner exits, faster capital deployment and greater financing flexibility. Key offerings include:
- Secondaries R&W Insurance: Enables faster, cleaner exits by replacing seller indemnities with insurance-backed protection, applicable to both traditional LP trades and GP-led transactions. This allows financial sponsors to distribute proceeds quickly while improving new investors’ confidence in the deal, reducing friction and unlocking capital that might otherwise be delayed.
- LP Clawback Insurance: Helps sellers achieve a truly clean exit by transferring potential clawback liabilities to insurers, eliminating the need for indemnities and holdbacks, streamlining transactions and enabling more efficient capital movement.
- Fund Wind-Down Insurance: Allows fund managers to close out investment vehicles with the assurance that potential residual risks would be backstopped by insurance capital, reducing the administrative burdens associated with maintaining reserves in fund vehicles and accelerating final distributions to both sponsors and investors.
- GP Stakes Insurance: Facilitates minority interest transactions by providing recourse without extensive indemnity negotiations, expediting deal execution and enabling sponsors and asset managers to monetize interests more efficiently.
- Tax Insurance: Transfers material tax risks to insurers, helping parties overcome transaction obstacles, accelerating closings and improving financing options. This provides clarity around tax exposures, supporting faster capital deployment and greater liquidity in private markets.
- Contingent & Litigation Insurance: Unlocks capital tied up by unresolved legal exposures, allowing businesses to accelerate M&A transactions, fund wind-downs and optimize balance sheets. This allows clients to distribute proceeds faster by transferring risks to insurers, reducing the need for reserves, enhancing liquidity and transaction certainty.
“Liquidity remains one of the most pressing challenges facing private market investors,” said Matthew Wiener, co-head of Transaction Solutions at Aon. “By combining transaction structuring with bespoke insurance products, we are able to facilitate deal execution by providing more efficient means for sponsors and investors to lock-in unrealized gains and pursue new opportunities.”
